Terms of Service

Last updated: 30 May 2026

These Terms of Service ("Terms") form a binding contract between you and Fines Software Consulting SRL governing your use of the Flatren mobile application, the flatren.app website, and all related services (collectively, the "Service"). By creating an account, joining the waiting list, or otherwise using the Service you confirm that you have read, understood, and agree to be bound by these Terms.

1. Who provides the Service

The Service is provided by Fines Software Consulting SRL, a Romanian limited liability company.

Company
Fines Software Consulting SRL
Registered office
Splaiul Independenței 313B, Sector 6, Bucharest, Romania
VAT number
RO45479400

References to "we", "our", "us", and "Flatren" mean Fines Software Consulting SRL. References to "you" and "your" mean the natural or legal person using the Service.

2. Definitions

  • Account — the personal account you create to use the Service.
  • App — the Flatren mobile application for iOS and Android.
  • Content — anything you upload, post, type, or otherwise make available through the Service: lease records, payment data, attachments, photos, notes, feedback messages.
  • Counterparty — the other person on a lease or payment record (your tenant, if you are a landlord; your landlord, if you are a tenant).
  • Free Tier / Pro Tier — the two paid plans, see Section 6.
  • Consumer — has the meaning given in Romanian Law 296/2004 and Directive 2011/83/EU: a natural person acting outside their trade, business, craft, or profession.

3. Eligibility

You may use the Service only if all of the following are true:

  • You are at least 18 years old, or the age of majority in your jurisdiction, whichever is higher.
  • You have the legal capacity to enter into a binding contract.
  • You are not barred from using the Service under any applicable law.
  • You are not on any sanctions list maintained by the European Union, the United Nations, the United States, or the United Kingdom, and you are not located in any country subject to a comprehensive embargo.
  • You have not previously had a Flatren account terminated by us, unless we expressly agree otherwise in writing.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

4. Your account

To use most of the Service you need to create an Account. You agree to:

  • Provide accurate, current, and complete information during sign-up and keep it up to date.
  • Keep your sign-in credentials confidential and not share your Account with any third party.
  • Be solely responsible for everything that happens under your Account, whether or not authorised by you.
  • Notify us immediately at the contact email above if you suspect unauthorised access to your Account.

We may refuse to register, refuse to renew, or close any Account where we reasonably believe the eligibility conditions are not met or these Terms have been breached. See Section 17 for the full termination rules.

5. Licence to use the Service

Subject to your continued compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the App and to access the Service for your own personal or internal business use of managing rental property and rent payments. This licence does not include any right to:

  • Resell, sublicense, lease, lend, or otherwise commercially exploit the Service or any part of it;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where this is permitted by mandatory law (for example Article 6 of Directive 2009/24/EC for limited interoperability purposes);
  • Modify, adapt, translate, or create derivative works based on the Service;
  • Remove, alter, or obscure any proprietary notice (including copyright, trademark, or patent notices) on the Service;
  • Use the Service to build or train a competing product, or to scrape, mirror, or systematically extract data;
  • Use any robot, spider, or other automated means to access the Service except for public APIs that we have explicitly documented as available for that use.

All rights not expressly granted in these Terms are reserved by us. Flatren, the Flatren logo, and other Flatren marks are our trademarks. The Service's software, design, and content (other than your Content) are protected by copyright, trademark, and other intellectual-property laws.

6. Free and Pro tiers, billing

The Service is available on a Free Tier and a paid Pro Tier. Pro is sold as an in-app subscription through the Apple App Store or Google Play and billed by Apple or Google to your account on file with them.

  • Pricing is published in the App at the point of purchase. Apple or Google convert it to your local currency at checkout.
  • Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date through your Apple or Google account settings. We do not control billing dates.
  • Price changes. If we change the price for an existing subscription tier, we will notify you in advance. The new price applies to your next renewal; if you do not accept it, cancel the subscription before that date.
  • Taxes. Where applicable, prices include VAT or other indirect taxes at the rate in force at the date of payment.
  • Failed payment. If a renewal payment fails, we may downgrade your Account to the Free Tier or restrict access until payment is received.

We do not store or process your payment-card information. That data lives with Apple, Google, and their payment processors.

7. Cancelling and refunds

You can cancel a Pro subscription at any time:

  • iOS: Settings → Apple ID → Subscriptions → Flatren.
  • Android: Google Play → Subscriptions → Flatren.

Cancellation stops the next renewal. You keep Pro access for the remainder of the current billing period.

7.1 Refunds

Because the Service is a digital service that begins executing the moment you start using Pro, refunds for periods already used are at our discretion and at the discretion of the platform that processed your payment (Apple or Google). Where you are entitled to a refund under mandatory law, we will honour that entitlement.

7.2 Right of withdrawal — consumers in the EU

If you are a Consumer in the EU, you have a right to withdraw from a distance contract within 14 days under Article 9 of Directive 2011/83/EU (transposed by Romanian Government Emergency Ordinance 34/2014). Because Flatren is a digital service, by starting to use Pro features you expressly consent to performance beginning during the 14-day period and acknowledge that you will lose your right of withdrawal once full performance has begun, in line with Article 16(m) of that Directive.

Where the withdrawal right applies, contact us at the email in Section 1 within the 14-day window. Note that Apple and Google operate their own refund procedures for in-app purchases — those procedures may give you broader refund options than these Terms.

8. Your Content

You retain all ownership rights in the Content you submit to the Service. We do not claim ownership of your lease records, payment data, attachments, or anything else you create.

To allow us to operate the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, copy, transmit, display, adapt (only as necessary to display on different devices and screen sizes), and process your Content for the purpose of providing, maintaining, protecting, and improving the Service. This licence ends when you delete the Content or your Account, except for residual copies in routine backups, audit logs, or legal holds, which we delete on the schedules described in our Privacy Policy.

You represent and warrant that:

  • You own or have all necessary rights, licences, consents, and permissions to submit your Content and to grant the licence above.
  • Your Content does not infringe any third party's intellectual property, privacy, or other rights, and does not violate any applicable law.
  • Where your Content includes another person's personal data (for example your tenant's name in a lease), you have the legal basis to share it with us as our processor for that data, in line with our Privacy Policy.
  • For each attachment upload, you have completed the per-upload consent step and the file you upload matches the description shown on that consent step.

We may, but are not obliged to, review, refuse, remove, or restrict access to any Content that we reasonably believe breaches these Terms or any applicable law, or that exposes us to legal risk.

9. Acceptable use

You must not, and you must not allow anyone else to:

  • Use the Service for any unlawful purpose, or to facilitate any unlawful activity (including money laundering, tax evasion, fraud, financing of terrorism, or sanctions evasion);
  • Submit false, inaccurate, or deliberately misleading Content (for example, marking a payment as "sent" when it has not been sent, or as "confirmed" when no money was received);
  • Upload anything you know or should reasonably know is malware, a virus, a worm, ransomware, or any other malicious code;
  • Attempt to disrupt the Service, probe its security, or bypass any access control or rate limit;
  • Impersonate any person or entity, or misrepresent your relationship with any person or entity;
  • Harass, threaten, defame, or harm any other user;
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure;
  • Submit Content that contains personal data of third parties without a lawful basis under the GDPR, beyond what is strictly necessary to operate the lease (for example, you must not paste a tenant's passport number into a free-text note);
  • Resell access to the Service, or use the Service to provide a competing or substantially similar service to anyone else.

Breach of this Section is grounds for immediate termination under Section 17 and may result in our reporting the conduct to law-enforcement or regulatory authorities.

10. You are solely responsible for what you do with Flatren

Without limiting the above, you are solely responsible for:

  • The legality of your lease. Whether your lease, its terms, the rent amount, the deposit, the notice period, eviction provisions, and every other clause comply with the law of the jurisdiction where the property is located.
  • The contents of any document you upload. Including identification documents, contracts, photos, and receipts. The per-upload consent step asks you to confirm what you are uploading; what you actually upload is on you.
  • The accuracy of every record. Marking a payment as "sent" or "confirmed" is a manual action by you (or your counterparty). The records that result reflect your actions, not ours. We do not verify whether money actually moved.
  • Your tax, accounting, and reporting obligations. Flatren's exports are not tax records, financial statements, or invoices. We provide data; you are responsible for whatever filings, declarations, or fiscal documents your jurisdiction requires.
  • The relationship with your counterparty. Disputes between landlords and tenants are between landlords and tenants. We are not a party to your lease, do not arbitrate disputes, and have no obligation to take sides.
  • Backing up your Content. While we keep your data per the schedules in our Privacy Policy and provide an in-app data export, you are responsible for retaining your own copies of anything that matters to you.
  • Authorisation of every payment. When the App opens your bank or payment app pre-filled with an amount, you must verify the amount, recipient, and reference before sending. We do not move money and have no way to reverse a payment you authorise outside the App.
  • Local rules on rental advertising and tenant-screening. If you use the Service to manage your property, you remain responsible for complying with all advertising, anti-discrimination, and tenant-screening rules in your jurisdiction.
  • Notifying tenants under data-protection law. If you, as a landlord, are a data controller for your tenant's personal data, you remain responsible for your own GDPR obligations toward that tenant. Flatren acts as your processor for the data we hold on your behalf.

Flatren does not provide legal, financial, accounting, tax, or investment advice. Anything we say in marketing, in the App's help text, on this website, or in support correspondence is informational only.

11. Third-party services

The Service interoperates with third-party services we do not control:

  • Sign-in providers (Google, Apple);
  • Payment apps and rails the App opens for you (Revolut, Bunq, Monzo, PayPal, your bank's app, etc.);
  • App distribution and billing (Apple App Store, Google Play, RevenueCat);
  • Communications (Apple Push Notification service, Firebase Cloud Messaging).
  • Crash and error diagnostics (Sentry).

Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for their availability, accuracy, content, security, fees, or decisions, and we make no representation about them.

12. Flatren is not a payment service

When the App opens a third-party payment app pre-filled with an amount and a recipient, the resulting transfer happens entirely between you, your bank or payment app, and your counterparty's bank or payment app. The transfer is not processed by Flatren and is not guaranteed, insured, escrowed, reversed, or otherwise backed by us.

A payment status in the Service (pending, sent, confirmed, cancelled, overdue) reflects what you and your counterparty manually marked in the App. It is not evidence that money actually moved, that any funds cleared, or that any obligation has been discharged. For that you must check the relevant bank, payment-app, or accounting record.

13. Service availability — we may change or end the Service at any time

This includes the right to:

  • Roll out, change, or remove features without notice;
  • Take the Service offline temporarily for maintenance or for any other reason;
  • Restrict access by region, by device, by Account, or by any other criterion we choose;
  • Discontinue the Free Tier, the Pro Tier, or the entire Service.

Where we discontinue the Service or the Pro Tier in a way that prevents you from using a Pro subscription you have already paid for, we will, at our discretion, either provide a pro-rated refund of the unused portion or grant equivalent credit. That is your sole and exclusive remedy in that scenario, save for any non-waivable rights you have as a Consumer.

We do not promise that the Service will be uninterrupted, timely, error-free, or secure. We do not guarantee any specific level of uptime, availability, or performance. Backups and continuity arrangements are operated for our own purposes and do not give you any right to a particular recovery time or recovery point.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE COMPATIBLE WITH ANY DEVICE OR THIRD-PARTY SERVICE, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY DEFECT WILL BE CORRECTED. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not allow the exclusion of certain warranties. In particular, if you are a Consumer in the EU, the statutory conformity warranties under Directive 2019/770 (digital content and digital services), as transposed by Romanian law, apply and are not excluded by these Terms.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FINES SOFTWARE CONSULTING SRL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS, BUSINESS INTERRUPTION, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THESE TERMS, FROM ALL CAUSES OF ACTION COMBINED, IS LIMITED TO THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED EUROS (€100).

Without limitation, we have no liability for:

  • Money lost or sent in error through any third-party payment app, bank, or rail;
  • Decisions you or your counterparty take based on data displayed in the Service;
  • Disputes between you and your counterparty;
  • Loss of access to, or corruption of, any of your Content where you have an in-app export option that you did not use;
  • Acts or omissions of third-party service providers (Section 11);
  • Force-majeure events (Section 18).

Nothing in these Terms limits or excludes our liability for: (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, (iii) any matter for which it is unlawful to limit or exclude liability under applicable law (including, where you are a Consumer in the EU, our liability for breach of statutory conformity under Directive 2019/770 and our gross negligence under the Romanian Civil Code).

You acknowledge that the limitations in this Section reflect a reasonable allocation of risk between you and us, that the Service's pricing was set on this basis, and that without these limitations the Service would not be offered on the same terms.

16. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Fines Software Consulting SRL, its directors, officers, employees, agents, and licensors from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your Content;
  • Your use of, or inability to use, the Service;
  • Your breach of these Terms or any applicable law;
  • Your violation of any third-party right, including any intellectual-property right, privacy right, or contractual right of your counterparty;
  • Any dispute between you and your counterparty.

We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence. You will not settle any claim that affects us without our prior written consent.

17. Termination and suspension

17.1 Termination by you

You can terminate these Terms at any time by deleting your Account from inside the App (Profile → Delete account). The deletion runs through a 30-day grace window described in our Privacy Policy.

17.2 Termination or suspension by us

Without limiting the right above, we will normally suspend or terminate your Account immediately and without notice if we reasonably believe that:

  • You have breached these Terms, our Privacy Policy, or our acceptable-use rules in Section 9;
  • Your continued use of the Service exposes us, our other users, or any third party to legal, security, or reputational risk;
  • You are using the Service to facilitate fraud, money laundering, sanctions evasion, or any other unlawful activity;
  • A regulatory or law-enforcement authority has ordered us to do so;
  • Your payment for the Pro Tier has failed and not been remedied within a reasonable period;
  • Your Account has been inactive for a long period that we deem unreasonable to continue maintaining.

17.3 Effect of termination

On termination, however caused:

  • Your right to use the Service ends immediately;
  • We may delete your Content in line with the retention schedule in our Privacy Policy;
  • Sections 5 (last paragraph), 8 (final licence wind-down), 10, 14, 15, 16, 17.3, 18, 19, 20, 21, 22, and 23 survive termination by their nature.

For paid Pro subscriptions, where we terminate your Account without cause attributable to you, we will refund the unused, pro-rated portion of any prepaid period — subject to the App Store / Google Play refund mechanics. Where termination is for cause attributable to you (including any of the events listed in Section 17.2), no refund is due.

18. Force majeure

We are not liable for any failure or delay in performing these Terms caused by events beyond our reasonable control, including (without limitation): acts of God, natural disasters, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil unrest, riot, government order, embargo, sanctions, strike, labour dispute, internet or telecommunications outage, power failure, third-party infrastructure failure (including failure of cloud or platform providers), or denial-of-service attack.

19. Privacy

Our collection and processing of personal data is governed by our Privacy Policy, which forms part of these Terms by reference. By using the Service you confirm that you have read and understood the Privacy Policy.

20. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the Service, in our business, in applicable law, or to clarify ambiguities. The version in force is the version published at flatren.app/terms with the "Last updated" date shown at the top of the page.

For changes that materially affect your rights or obligations, we will give you reasonable advance notice through the App or by email before the change takes effect. Your continued use of the Service after that date is your acceptance of the updated Terms. If you do not accept the change, your remedy is to stop using the Service and, where applicable, cancel your subscription before the change takes effect.

21. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of them are governed by the laws of Romania, without regard to its conflict-of-laws rules.

The competent courts of Bucharest, Romania have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, save that if you are a Consumer the mandatory rules of the Brussels Ia Regulation (Regulation (EU) 1215/2012) and Article 6 of the Rome I Regulation (Regulation (EC) 593/2008) may give you the right to bring proceedings in the courts of your place of habitual residence and to invoke the protections of the consumer law of that country.

Application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

22. EU consumer dispute resolution

If you are a Consumer in the EU, the European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. We are not currently obliged to use, and do not commit to use, an alternative-dispute-resolution body to resolve consumer disputes; we will, however, attempt to resolve any complaint you raise directly with us in good faith.

Romanian Consumers may also contact the National Authority for Consumer Protection (ANPC): anpc.ro.

23. General

  • Entire agreement. These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreement, understanding, or representation, written or oral.
  • Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court or competent authority, that provision is severed to the minimum extent necessary, and the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, restructuring, or sale of assets, provided the assignee agrees to be bound by these Terms.
  • No partnership or agency. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and us.
  • Third-party beneficiaries. These Terms do not confer any rights or remedies on any person other than you and us.
  • Notices. We may give notice to you through the App, by email to the address on your Account, or by posting on flatren.app. You give notice to us by email at the address in Section 1.
  • Headings and language. Section headings are for convenience only. These Terms are drafted in English; translations are for information only — the English version controls in case of discrepancy.
